1. Vivrelle Privée Membership Terms

This Privée Program Addendum (“Addendum”) supplements and forms part of the Vivrelle Inc. Terms and Conditions and the Vivrelle Membership Agreement (the “Terms”). This Addendum applies solely to members who have been invited to and enrolled in Vivrelle’s Privée Membership tier (“Privée”). The Terms remain in full force and effect, and any matters not expressly addressed in this Addendum shall be governed by the Terms. In the event of any conflict between this Addendum and the Terms with respect to Privée, this Addendum shall control. All capitalized terms not defined herein have the meanings set forth in the Terms.

Privée is an exclusive, invite-only add-on tier within Vivrelle that provides approved members access to a curated collection of authenticated Hermès Birkin and Kelly handbags. Vivrelle is not affiliated with, endorsed by, or sponsored by Hermès International or any other brand referenced in connection with the Privée program. All trademarks and brand names are the property of their respective owners.

Privée membership is subject to the terms in this Addendum. 

2. Membership Requirements

Privée is an add-on membership tier and not a standalone membership.

To participate in Privée, members must maintain an active Vivrelle Classique or Couture membership in good standing. 

Members may temporarily pause (freeze) their Classique or Couture membership in accordance with the Terms while maintaining Privée access. However, members may not cancel their Vivrelle membership entirely while remaining enrolled in Privée.

Privée access is granted by invitation only and is subject to approval and ongoing eligibility requirements as determined by Vivrelle. Vivrelle reserves the right to approve, deny, suspend, or revoke Privée access at its sole discretion. Vivrelle may modify, suspend, or discontinue the Privée program at any time.  

3. Privée Monthly Fee

Privée is an add-on membership tier subject to an additional fee of $800 per month, which is charged in addition to the applicable monthly fee for the member’s underlying Vivrelle Classique or Couture membership.

Subject to availability, this fee includes:

• Access to the Privée collection
• Roundtrip shipping
• Premium Coverage

The Privée membership fee will be billed on a recurring monthly basis in accordance with the billing, payment authorization, renewal, and cancellation provisions set forth in the Terms. All payment terms applicable to Vivrelle memberships under the Terms apply equally to Privée. By completing enrollment, you authorize Vivrelle to charge your payment method on a recurring monthly basis for Privée membership. 

Privée membership fees are not eligible for promotional discounts, referral credits, or promotional codes unless explicitly stated. Members agree that Privée membership fees are non-refundable, except where required by law.

4. Borrowing Privée Items

Privée members may borrow one (1) Privée bag at a time.

Each item must be kept for a minimum of 30 days before the member may request a swap or exchange, subject to availability and Vivrelle’s approval. 

Privée operates through a separate Privée closet, independent from the member’s standard Vivrelle closet. Access to the Privée inventory does not expand or modify the member’s borrowing rights under their underlying Classique or Couture membership. 

Members may submit requests for specific styles, sizes, colors, leathers, and hardware. All Privée inventory is limited and subject to demand. Availability of such specific requests is not guaranteed at any given time. Vivrelle reserves the right to allocate Privée inventory, manage waitlists, and prioritize item distribution among members in its sole discretion.

5. Swapping Your Privée Bag

Once a new Privée request is placed, members must return their current bag within three (3) calendar days. The rental process, return requirements, condition standards, late fees, risk of loss provisions, and all other applicable borrowing terms set forth in the Terms apply equally to Privée items unless expressly stated otherwise in this Addendum.

Shipment of your next Privée item will occur only after your current item has been returned to and received by Vivrelle. If your return is not shipped within the required 3 day period, Vivrelle reserves the right to cancel the pending Privée order and/or suspend Privée privileges in its discretion. 

Returns may be completed in one of two ways:

Shipping via UPS

Members must:

• Use the original Vivrelle shipping box
• Place the bag in its original dustbag
• Include all desiccants and original packaging materials
• Seal the package securely using the provided tape
• Drop the package directly at a UPS location (drop-boxes are not permitted) 

Members must retain their UPS receipt as proof of drop-off. Members acknowledge that:

• Privée items are high-value luxury assets
• Additional handling and return protocols may apply
• Members assume responsibility for items while in their possession

Showroom Swap

Alternatively, members may complete a swap in person at the Vivrelle Midtown NYC showroom by appointment with their Privée concierge. Showroom swaps are subject to appointment availability and inspection of the returned item.

6. Premium Coverage

Privée bags are protected under Vivrelle’s Premium Coverage program, consistent with the Terms. Except as expressly modified herein, all Premium Coverage provisions set forth in the Terms apply equally to Privée items.

However, coverage does not apply to, and the member shall remain fully responsible for any loss, theft, damage, or other liability relating to a Privée bag resulting from or arising out of the following circumstances. In such cases, Vivrelle reserves the right to charge the member the full replacement value of the item.

• Intentional damage
• Negligence
• Loss 
• Theft
• Failure to follow return instructions
• Shipping through unauthorized methods (such as drop boxes or alternate carriers)

Members remain responsible for the bag until it is properly returned and received by Vivrelle in accordance with the Terms of this Addendum. 

7. Pausing Privée

Privée may be paused up to three (3) times per calendar year. Each pause period may not exceed two (2) consecutive months. All pause requests are subject to Vivrelle’s applicable notice requirements and administrative policies under the Terms. Vivrelle reserves the right to deny or modify pause requests in its discretion.

7. Canceling Privée

Privée cancellations must be submitted separately from Vivrelle membership cancellations.

If canceling both Privée and Vivrelle, two separate cancellation requests must be submitted.
